Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Lockafy website, software, and related services (the "Services"), provided by Lockafy ("Lockafy," "we," "us," or "our"). By creating an account, signing in, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. The Services
Lockafy provides hosted booking software for escape room businesses, including a public booking widget, an admin dashboard, payment-link tools, customer reminders, reporting, and related features (collectively, the "Services"). We may add, change, or remove features from time to time.
2. Eligibility and accounts
- You must be at least 18 years old and able to enter into a binding contract.
- You must provide accurate registration information and keep it up to date.
- You are responsible for all activity under your account, including activity by your staff. Keep your password secure and notify us immediately at hello@lockafy.com if you suspect unauthorized access.
3. Customer roles
If you sign up to operate an escape room business through Lockafy (an "Operator"), you are the customer and the data controller for the booking data of your end customers. If you book a game with an escape room that uses Lockafy (a "Player"), your booking is a contract between you and that escape room; Lockafy provides the booking and payment platform but is not a party to that contract.
4. Acceptable use
You agree not to:
- Use the Services for any unlawful, fraudulent, deceptive, or harmful purpose.
- Use the Services to send spam or unsolicited marketing communications, or to send messages to recipients who have not consented in accordance with applicable law (including CAN-SPAM, TCPA, GDPR, and CASL).
- Upload or transmit content that infringes intellectual property rights, is defamatory, harassing, obscene, or otherwise objectionable.
- Attempt to probe, scan, reverse engineer, or breach the security of the Services or other users' data.
- Use the Services in a way that overloads, disrupts, or impairs the Services or other users.
- Resell, sublicense, or white-label the Services to third parties without our written agreement.
5. Customer content and ownership
You retain all rights to the data and content you upload to the Services ("Customer Content"). You grant us a limited, non-exclusive, worldwide license to host, store, process, transmit, and display Customer Content solely as needed to operate and improve the Services and to provide them to you. We do not claim ownership of your Customer Content.
You represent that you have all rights and consents necessary to upload Customer Content and to authorize us to process it under these Terms and our Privacy Policy.
6. Third-party services
The Services connect to third-party providers that you choose to enable, including payment gateways (such as Square or Authorize.Net), email delivery (such as Amazon SES), SMS providers (such as Twilio or OpenPhone), analytics providers (such as Google Analytics), and calendar/email integrations (such as Google Calendar or Gmail). Your use of those services is governed by their own terms and privacy policies. Lockafy is not responsible for the availability, accuracy, or practices of third-party services.
7. Fees, billing, and taxes
- Subscription fees and any one-time charges are described at signup or in a separate order form. Unless stated otherwise, fees are billed in advance and are non-refundable.
- You authorize us (or our payment processor) to charge your designated payment method on a recurring basis until you cancel.
- Fees are exclusive of taxes; you are responsible for any applicable sales, use, or VAT taxes.
- If a payment fails or is past due, we may suspend or terminate your access until payment is received.
- We may change fees on prospective renewal terms with reasonable advance notice.
8. Suspension and termination
You may cancel your account at any time from the admin dashboard or by emailing hello@lockafy.com. Cancellation takes effect at the end of your current billing period unless otherwise required by law.
We may suspend or terminate your access immediately if (a) you breach these Terms, (b) your use creates legal, security, or operational risk to Lockafy or others, or (c) we are required to do so by law. We will use reasonable efforts to provide notice when practicable.
Upon termination, your right to use the Services ends and we may delete your data after a reasonable retention period. Provisions that by their nature should survive termination (including ownership, disclaimers, indemnification, and limitations of liability) survive.
9. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, LOCKAFY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR TRADE USAGE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DATA WILL BE ACCURATE OR PRESERVED WITHOUT LOSS.
10. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, LOCKAFY AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR USE, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) ONE HUNDRED U.S. DOLLARS ($100).
11. Indemnification
You agree to defend, indemnify, and hold harmless Lockafy from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of (a) your use of the Services, (b) your Customer Content, (c) your violation of these Terms, or (d) your violation of any law or third-party right.
12. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page and, for material changes, give reasonable advance notice (e.g., by email or in-product notice). Your continued use of the Services after the changes take effect means you accept the updated Terms.
13. Governing law and disputes
These Terms are governed by the laws of the State of Illinois, United States, without regard to conflict-of-laws principles. Any dispute will be resolved exclusively in the state or federal courts located in Illinois, and you and Lockafy consent to the personal jurisdiction of those courts. Nothing in these Terms prevents either party from seeking injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
14. Miscellaneous
- Entire agreement. These Terms (together with the Privacy Policy and any order form) are the entire agreement between you and Lockafy regarding the Services.
- Severability. If any provision is held unenforceable, the rest remains in effect.
- No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
- Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- Notices. We may give you notice by email to the address on your account or by posting in the admin dashboard. Send notices to us at hello@lockafy.com.
